Tenderly – Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of Tenderly (the "Platform"), a digital portal for managing construction tenders on the Isle of Man. By registering or using the Platform, you agree to be bound by these Terms and our Privacy Policy.

2. Platform Purpose

Tenderly facilitates the tendering process between Clients and Contractors. We act solely as a neutral intermediary and are not a party to any resulting contract or agreement. We do not vet, verify, or endorse any Contractor or Client. We do not guarantee the quality, legality, or performance of any work arising from the Platform. We also do not participate in or mediate disputes between users. Users are solely responsible for performing their own due diligence before entering into any agreements.

3. Information, Listings, and Clarifications

All listings, tenders, clarifications, and profile content are submitted by users. Tenderly does not guarantee the accuracy, completeness, or truthfulness of any user-generated content. Users agree they are solely responsible for verifying project scope, technical requirements, and commercial terms. Clients acknowledge that information shared in the Clarification Board is visible to all tendering Contractors. Contractors acknowledge that clarifications are non-binding and any formal revisions must be captured in updated documentation. We reserve the right to edit, remove, or moderate content that violates these Terms or applicable laws.

By uploading any content to the Platform, including but not limited to drawings, photographs, specifications, or documents, users confirm that they own the content or have the necessary rights and permissions to share it. Users accept full responsibility for the legality, accuracy, and appropriateness of any content submitted. Tenderly accepts no liability for copyright infringement, misuse, or disputes arising from user-uploaded materials.

7. Service Access and Termination

Tenderly reserves the right to refuse, suspend, or revoke any account at our sole discretion. We also reserve the right to remove or modify listings that violate these Terms or applicable laws.

8. Data Privacy, Cookies, and Communications

Tenderly is committed to protecting user privacy and complying with the Isle of Man’s Data Protection laws and the GDPR. By using the Platform, users agree that we may collect and store data for operational, compliance, and support purposes. We may send system notifications and essential service emails such as job updates and clarifications. Optional marketing emails will only be sent with explicit user opt-in. Cookies may be used to maintain login sessions, track usage, and improve functionality. Continued use of the Platform implies consent to our cookie policy. Users may request access to, correction of, or deletion of their personal data at any time.

9. Intellectual Property

All branding, layout, and non-user-generated content on the Platform is the property of Tenderly and may not be reused or reproduced without explicit permission.

10. Limitation of Liability

To the fullest extent permitted by law, Tenderly is not liable for any loss, damage, or dispute arising from use of the Platform or reliance on any content posted. We are not responsible for incomplete, inaccurate, or misleading information submitted by users. Tenderly is not a party to any contract formed between users and does not mediate or enforce contractual obligations.

11. Governing Law

These Terms shall be governed by the laws of the Isle of Man. Any disputes shall be subject to the exclusive jurisdiction of the Isle of Man courts.

12. Changes to Terms

We may revise these Terms at any time. Continued use of the Platform constitutes acceptance of the revised Terms.

14. Activity Logging and Moderation

To ensure trust and transparency, Tenderly logs system activity including project postings, clarification messages, and tender submissions. These records are only accessible by the Platform administrator for audit and support purposes. We reserve the right to suspend or remove users who misuse the system or violate these Terms.
