These Terms and Conditions ("Terms") govern your access to and use of the Tenderly platform, operated by AH Grace Ltd (trading as Tenderly), a company registered in the Isle of Man (Company Number 133190/C), whose registered office is at 32 Cronk Avenue, Onchan, Isle of Man, IM3 3DF ("we", "us", "our", "Tenderly").
By creating an account or using the platform, you agree to be bound by these Terms and our Privacy Policy and Cookie Policy. If you do not agree, do not use the platform.
Tenderly is an online marketplace facilitating construction tendering and project management on the Isle of Man. The Platform enables Clients to post construction jobs and Clients to receive tenders and quotations from Professional Users. We act solely as a neutral intermediary and are not a party to any contract formed between a Client and a Professional User.
We do not vet, verify, or endorse any User. We do not guarantee the quality, suitability, legality, or performance of any work or services arranged through the Platform. Users are solely responsible for conducting their own due diligence before entering into any commercial arrangement.
To register and use the Platform you must:
We reserve the right to decline or revoke any registration at our sole discretion.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must not share your account with any other person or allow others to use your credentials.
You must notify us immediately if you suspect unauthorised access to your account by contacting support@tenderly.im.
You warrant that all information you provide at registration and throughout your use of the Platform is accurate, current, and complete, and you agree to keep your account details up to date. We may suspend or terminate your account if we have reason to believe you have provided false information or are in breach of these Terms.
Clients may register and post construction projects, tenders, and quotation requests free of charge. There is no subscription fee for Clients.
Professional Users (contractors, quantity surveyors, architects, and professional consultants) access project listings and submit tenders through the Platform. A subscription fee applies to Professional Users, subject to the terms in section 6 below.
Apprentices may register to access the Platform's apprenticeship placement features.
Administrators have access to all areas of the Platform for the purposes of moderation, support, and platform management.
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period, and you will retain access to Professional User features until that date.
Subscription fees and any other payments made through the Platform are non-refundable, except where required by Isle of Man law or at the sole discretion of Tenderly in cases of genuine error or material service failure.
If you believe you have been incorrectly charged or have experienced a material service disruption, you may request a review by contacting support@tenderly.im within 14 days of the charge. Refund requests will be considered on a case-by-case basis. We reserve the right to refuse refunds for issues arising from user error, violation of these Terms, or dissatisfaction with features or outcomes. Any approved refunds will be processed to the original payment method.
This policy does not affect your statutory rights under Isle of Man law.
You agree to use the Platform only for lawful, professional purposes and in a manner consistent with these Terms. You must not:
We reserve the right to remove any content that we consider to be in breach of these Terms and to suspend or terminate any account involved in such behaviour.
Your responsibility. You are solely responsible for the accuracy, legality, and appropriateness of all Content you post on the Platform, including job postings, tender submissions, quotes, messages, reviews, portfolio items, and uploaded documents. By uploading Content, you confirm that you own it or have the necessary rights and permissions to share it on the Platform.
Licence to us. By posting Content on the Platform, you grant AH Grace Ltd a non-exclusive, royalty-free licence to store, display, and reproduce that Content as necessary to operate the Platform and provide the service to you and other users. You retain ownership of your original Content.
Content standards. All Content must be accurate, professional, and lawful. Content must not be defamatory, discriminatory, offensive, or otherwise in breach of applicable law.
Clarification Board. Clients acknowledge that information shared on a job's Clarification Board is visible to all contractors tendering on that job. Clarifications are provided for information purposes and are not binding. Any formal amendments to the project scope or specification must be captured in updated documentation provided directly between the contracting parties.
Reviews. Reviews must reflect your genuine experience of working with the reviewed party. You must not post reviews to which you are not a genuine party or attempt to manipulate the Platform's reputation system. We reserve the right to investigate and remove reviews that we reasonably consider to be false or abusive. We do not guarantee removal of all disputed reviews following investigation.
Messages. Message content is stored on our servers. You should not include highly sensitive information (such as bank account details or passwords) in Platform messages.
Documents. You warrant that any document you upload (including insurance certificates and employers' liability documents) is genuine and accurately reflects your current position. We do not independently verify uploaded documents and accept no liability for inaccurate or fraudulent documents submitted by users.
Tenderly does not guarantee the accuracy, completeness, or truthfulness of any user-generated Content on the Platform. Users are solely responsible for verifying project scope, technical requirements, insurance requirements, planning permissions, and commercial terms before entering into any agreement.
Submission of a tender or quote does not guarantee the award of a contract. Clients are under no obligation to award to any contractor. We are not responsible for the outcome of any tender process.
All pricing, timescales, insurance requirements, and contractual terms are agreed directly between the Client and the Professional User. Tenderly is not a party to any resulting contract and provides no warranty as to the accuracy or appropriateness of any submitted figures or terms.
By using the Platform you may receive in-app, email, and push notifications relating to activity on your account (for example tender submissions, quote decisions, and clarification messages). You can manage your email notification preferences in your account settings. Push notifications require your explicit browser permission and can be revoked at any time through your browser or device settings.
We may send you important service and account notifications regardless of your notification preferences (for example, notifications about changes to these Terms or your subscription status).
All intellectual property in the Tenderly Platform including its design, software, branding, and non-user-generated content, is owned by AH Grace Ltd or licensed to us. Nothing in these Terms transfers any intellectual property rights to you. You may not reproduce, redistribute, or exploit any part of the Platform without our prior written consent.
We aim to keep the Platform available at all times but do not guarantee uninterrupted or error-free access. The Platform may be unavailable due to scheduled maintenance, technical faults, or circumstances outside our control. We will endeavour to give reasonable advance notice of planned maintenance. We are not liable for any loss arising from unavailability of the Platform.
To maintain trust and integrity, Tenderly logs platform activity including job postings, tender submissions, clarification messages, and account actions. These records are accessible to Platform administrators for audit, moderation, and support purposes. We reserve the right to suspend or remove users who misuse the Platform or violate these Terms.
To the maximum extent permitted by Isle of Man law, AH Grace Ltd's total liability to you for any claim arising out of or in connection with these Terms or your use of the Platform shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.
We shall not be liable for:
Nothing in these Terms limits or excludes our liability for fraud, death, or personal injury caused by our negligence, or any other liability that cannot lawfully be excluded under Isle of Man law.
You agree to indemnify and hold harmless AH Grace Ltd, its directors, employees, and agents from and against any claims, costs, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Platform, your Content, or your breach of these Terms.
By you: You may delete your account at any time through your account settings. On deletion, your personal data, messages, uploaded files, and account content will be permanently removed from our systems in accordance with our Privacy Policy. Certain content posted about you by other users (such as reviews) may remain visible as part of the reviewed party's profile record.
By us: We may suspend or terminate your account immediately, without prior notice, if:
On termination, any pending tenders or quotes submitted by you remain visible to the relevant parties unless separately removed. No refund of subscription fees will ordinarily be made on termination for breach.
We are committed to protecting your privacy in accordance with the Isle of Man Data Protection Act 2018. By using the Platform, you agree that we may collect and store personal data as described in our Privacy Policy and Cookie Policy. You may request access to, correction of, or deletion of your personal data at any time by contacting us at support@tenderly.im.
We may update these Terms from time to time. Where changes are material, we will notify registered users through the Platform at least 14 days before the changes take effect. Continued use of the Platform after notification constitutes acceptance of the updated Terms. The current version of these Terms is always available on the Platform.
These Terms are governed by and construed in accordance with the laws of the Isle of Man. Any disputes arising out of or in connection with these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the Isle of Man courts.
