Tenderly – Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of Tenderly (the "Platform"), a digital portal for managing construction tenders on the Isle of Man. By registering or using the Platform, you agree to be bound by these Terms and our Privacy Policy.

1. Definitions

• Client refers to any individual, organisation, or entity posting a construction project to the Platform.
• Contractor refers to a registered party expressing interest and/or submitting quotations.
• Tenderly, We, or Us refers to the owners and operators of the Platform.

2. Platform Purpose

Tenderly facilitates the tendering process between Clients and Contractors. We act solely as a neutral intermediary and are not a party to any resulting contract or agreement. We do not vet, verify, or endorse any Contractor or Client. We do not guarantee the quality, legality, or performance of any work arising from the Platform. We also do not participate in or mediate disputes between users. Users are solely responsible for performing their own due diligence before entering into any agreements.

3. Information, Listings, and Clarifications

All listings, tenders, clarifications, and profile content are submitted by users. Tenderly does not guarantee the accuracy, completeness, or truthfulness of any user-generated content. Users agree they are solely responsible for verifying project scope, technical requirements, and commercial terms. Clients acknowledge that information shared in the Clarification Board is visible to all tendering Contractors. Contractors acknowledge that clarifications are non-binding and any formal revisions must be captured in updated documentation. We reserve the right to edit, remove, or moderate content that violates these Terms or applicable laws.

4. Fees and Payments

• Listing jobs on Tenderly is free for Clients. Clients can register and post construction projects without charge.
• Professional Access (Subscription): Professional consultants, architects, quantity surveyors (QSs), and contractors will be required to subscribe to access project listings and submit tenders. The subscription fee is £24.99 per month.
• Implementation of Subscription Fees: The subscription fee will only be introduced when, at Tenderly’s discretion, the demand and user base is sufficient to warrant a monthly subscription. Until that time, professional users can register and use the Platform free of charge.
• Discounts for Longer Subscription Periods: Tenderly reserves the right to offer discounted rates for users who opt to purchase subscriptions in advance for periods longer than one month, such as three-month, six-month, or annual packages. The applicable fee and any discounts will be clearly communicated at the time of purchase.
• Notice Period: All affected users will be notified at least 14 days in advance of the introduction of any subscription fees or changes to payment terms.
• Payment Terms: Subscription payments will be processed by a third-party payment provider. Continued access to professional features will require timely payment of the subscription fee. Non-payment may result in suspension or restriction of account access.

4A. Refund Policy

• Subscription fees and any other payments made through the Platform are non-refundable except where required by law, or at the sole discretion of Tenderly in cases of genuine error or service failure.
• If you believe you have been incorrectly charged or have experienced a material service disruption, you may request a refund by contacting support@tenderly.im within 14 days of the charge.
• Refund requests will be considered on a case-by-case basis, and Tenderly reserves the right to refuse refunds for issues arising from user error, violation of these Terms, or dissatisfaction with features or outcomes.
• Any approved refunds will be processed to the original payment method.
• This policy does not affect your statutory rights under Isle of Man law.

5. User Conduct

• Users agree to provide truthful and up-to-date information at registration and throughout their use of the Platform.
• Users must refrain from uploading any unlawful, offensive, or misleading content.
• The Platform must only be used for lawful and professional construction-related purposes.

6. User-Uploaded Content

By uploading any content to the Platform, including but not limited to drawings, photographs, specifications, or documents, users confirm that they own the content or have the necessary rights and permissions to share it. Users accept full responsibility for the legality, accuracy, and appropriateness of any content submitted. Tenderly accepts no liability for copyright infringement, misuse, or disputes arising from user-uploaded materials.

7. Service Access and Termination

Tenderly reserves the right to refuse, suspend, or revoke any account at our sole discretion. We also reserve the right to remove or modify listings that violate these Terms or applicable laws.

8. Data Privacy, Cookies, and Communications

Tenderly is committed to protecting user privacy and complying with the Isle of Man’s Data Protection laws and the GDPR. By using the Platform, users agree that we may collect and store data for operational, compliance, and support purposes. We may send system notifications and essential service emails such as job updates and clarifications. Optional marketing emails will only be sent with explicit user opt-in. Cookies may be used to maintain login sessions, track usage, and improve functionality. Continued use of the Platform implies consent to our cookie policy. Users may request access to, correction of, or deletion of their personal data at any time.

9. Intellectual Property

All branding, layout, and non-user-generated content on the Platform is the property of Tenderly and may not be reused or reproduced without explicit permission.

10. Limitation of Liability

To the fullest extent permitted by law, Tenderly is not liable for any loss, damage, or dispute arising from use of the Platform or reliance on any content posted. We are not responsible for incomplete, inaccurate, or misleading information submitted by users. Tenderly is not a party to any contract formed between users and does not mediate or enforce contractual obligations.

11. Governing Law

These Terms shall be governed by the laws of the Isle of Man. Any disputes shall be subject to the exclusive jurisdiction of the Isle of Man courts.

12. Changes to Terms

We may revise these Terms at any time. Continued use of the Platform constitutes acceptance of the revised Terms.

14. Activity Logging and Moderation

To ensure trust and transparency, Tenderly logs system activity including project postings, clarification messages, and tender submissions. These records are only accessible by the Platform administrator for audit and support purposes. We reserve the right to suspend or remove users who misuse the system or violate these Terms.
